1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Pinary (the "Service"), operated by Resolve Inc. ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

By using the Service, you acknowledge and agree that the Service is provided solely as a tool for the research, study, backtesting, and educational analysis of trading strategies. The Service is not intended, designed, or offered as investment advice, financial advice, a recommendation to buy or sell any financial instrument, a tool for live trading or order execution, or a substitute for professional financial counsel. Any application of the Service's outputs to live trading or actual investment activity is undertaken at your sole risk and responsibility.

These Terms apply to your use of Pinary via our website (pinary.app) and our Chrome browser extension.

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on the Service or by email. The version of these Terms in force at any given time is the one published at https://pinary.app/terms, identified by the "Last Updated" date above. You acknowledge that it is your responsibility to review the most recent version of these Terms periodically and to determine whether you continue to agree. Your continued use of the Service after the effective date of updated Terms constitutes acceptance.

We may also ask you to re-confirm your acceptance of materially updated Terms by displaying the updated Terms within the Service and requiring an explicit click-through. If you do not accept the updated Terms when prompted, you must stop using the Service.

2. Eligibility

You must be at least 16 years of age (or the minimum age required in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and that the information you provide is accurate and complete.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts at our discretion.

Pinary accounts are authenticated via email or social login through our authentication provider.

4. Fees, Subscriptions, and Payment

The Service offers a Free plan with daily usage limits and paid plans (Pro and Elite) with expanded limits and additional features. The current plan tiers, fees, billing periods (monthly or annually), and feature details are published on our pricing page at https://pinary.app and may be updated from time to time.

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

You may cancel your subscription at any time through the Stripe Billing Portal accessible from your account settings. Upon cancellation, your paid plan remains active until the end of the current billing period, after which your account reverts to the Free plan.

If you downgrade your plan, the change takes effect at the end of your current billing period.

Payments are processed through our third-party payment processor, Stripe, Inc. By providing payment information, you authorize us to charge the applicable fees.

Applicable taxes (such as sales tax, consumption tax, or VAT) may be added at checkout based on your billing location and applicable law.

All fees are non-refundable except as expressly stated or required by applicable law.

We will provide at least 30 days' notice before any price increase takes effect.

5. Acceptable Use

You agree not to:

(a) Violate any applicable law or regulation; (b) Infringe the intellectual property, privacy, or other rights of any third party; (c) Interfere with or disrupt the Service (including unauthorized access, excessive load, or introduction of malicious code); (d) Use the Service for any fraudulent, deceptive, or harmful purpose; (e) Transfer your account to any third party without our consent; (f) Use the Service to generate trading strategies for the purpose of market manipulation or any other illegal trading activity; (g) Attempt to reverse-engineer, decompile, disassemble, or otherwise extract or derive the AI models, model weights, prompts, system instructions, or algorithms underlying the Service; (h) Use automated scripts, crawlers, scrapers, or bots to interact with the Service beyond the provided Chrome Extension, or systematically retrieve, harvest, mirror, or accumulate data, outputs, or content from the Service; (i) Redistribute, sell, or sublicense Pine Script code generated by the Service as a commercial product or signal service; (j) Misrepresent AI-generated strategies as human-created professional financial advice; (k) Use the Service or its outputs (including prompts, generated code, strategy logic, parameters, and backtesting data) to train, fine-tune, develop, evaluate, or improve any artificial intelligence model, machine learning system, or service that competes with, or is substantially similar to, the Service; (l) Upload, submit, or share content that contains malware, exploits, obfuscated code intended to evade review, or material that is unlawful, defamatory, harassing, or infringing; (m) Probe, scan, or test the vulnerability of the Service or circumvent any security, rate-limit, or access-control mechanism.

We may suspend or terminate your access if you breach these Terms.

6. Intellectual Property, User Content, and Generated Output

6.1 Our Intellectual Property. All content, software, models, prompts, designs, and materials provided through the Service are owned by us or our licensors and are protected by applicable intellectual property laws. You may not reproduce, modify, distribute, or create derivative works without our prior written consent, except as expressly permitted by these Terms.

6.2 Your Inputs. You retain ownership of the inputs you provide to the Service (strategy parameters, preferences, text prompts, uploaded images, URLs, and other materials you submit, collectively "User Inputs"). You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, store, transmit, modify, and process User Inputs solely as necessary to operate, secure, support, and improve the Service for you, to comply with legal obligations, and to enforce these Terms. We do not use User Inputs to train foundation AI models.

6.3 Generated Output. AI-generated outputs (including Pine Script code, strategy descriptions, and parameter sets, collectively "Generated Output") are provided to you under a non-exclusive, non-transferable, revocable license for personal, non-commercial use, subject to these Terms. You acknowledge that (i) Generated Output is produced algorithmically and may be similar or identical to outputs delivered to other users, (ii) we make no warranty as to its originality or non-infringement, and (iii) you are responsible for reviewing Generated Output before any use. You may not resell, sublicense, package, or commercially redistribute Generated Output, including as part of a paid signal service, course, indicator marketplace listing, or competing AI training corpus.

6.4 Shared Strategies and User Content. If you publish, share, or otherwise make a strategy, description, screenshot, comment, or other material visible to others through the Service ("User Content"), you represent and warrant that (i) you own or have the rights necessary to grant the license below, (ii) the User Content does not infringe the intellectual property, privacy, publicity, or other rights of any third party, (iii) the User Content does not contain malware, exploits, hidden tracking, or content that is unlawful, defamatory, harassing, sexually explicit, or hateful, and (iv) the User Content does not contain personal data of others without a lawful basis. You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, cache, reproduce, transmit, display, and adapt User Content as necessary to operate the Service and to enable the sharing features you have requested. You also grant other users a non-exclusive, non-commercial license to view shared User Content within the Service. We may, at our sole discretion and without notice, remove, restrict access to, or refuse to display any User Content for any reason, including alleged infringement or breach of these Terms.

6.5 Feedback. If you send us suggestions, ideas, bug reports, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, modify, and incorporate the Feedback in our products and services without obligation to you.

7. Service Description and AI-Generated Content

Pinary is an AI-powered tool for the research, study, backtesting, and educational analysis of trading strategies. The Service uses a third-party artificial intelligence service to generate Pine Script code compatible with TradingView based on your inputs and preferences. The Service is not designed, marketed, or authorized as a tool for live trading, investment execution, order routing, or the management of actual capital.

AI-generated output — including Pine Script code, strategy descriptions, and backtesting parameters — is produced by machine learning models and may contain errors, inaccuracies, hallucinations, suboptimal logic, references to non-existent functions, or output that is materially similar or identical to output delivered to other users. We do not guarantee the accuracy, completeness, originality, profitability, or suitability of any AI-generated content. You are responsible for reviewing, validating, and testing any AI-generated content before using it for any purpose.

The AI models and their outputs may change over time as models are updated. Identical inputs may produce different outputs at different times.

Backtesting results are based on historical data and are subject to inherent limitations including survivorship bias, look-ahead bias, and curve-fitting. Past performance as shown in backtests does not guarantee or indicate future results.

8. Financial and Investment Disclaimer

8.1 Research and Educational Use Only. THE SERVICE IS PROVIDED STRICTLY AS A TOOL FOR RESEARCH, STUDY, BACKTESTING, AND EDUCATIONAL ANALYSIS OF TRADING STRATEGIES. It is not designed, marketed, or authorized for live trading, investment execution, order routing, or the management of actual capital. If you choose to apply, adapt, or execute any output of the Service — including Pine Script code, indicator parameters, strategy logic, or backtesting results — in live trading or real investment activity, you do so entirely at your own risk and on your own responsibility, and you irrevocably waive any claim against Resolve Inc., its officers, employees, contractors, and affiliates arising from or relating to such use.

8.2 Not Financial Advice. THE SERVICE IS NOT FINANCIAL ADVICE. Pinary is a software tool that generates trading strategy code for research and educational purposes. It is not, and should not be construed as, financial advice, investment advice, trading advice, solicitation to buy or sell any financial instrument, or any other type of professional advice.

8.3 Regulatory Status. Resolve Inc. is not registered as an investment advisory business (投資助言・代理業) under the Financial Instruments and Exchange Act of Japan (金融商品取引法), nor under any equivalent regulatory regime in any other jurisdiction. The Service is a software tool, not a financial service.

8.4 Risk Disclosure. TRADING AND INVESTING IN FINANCIAL INSTRUMENTS INVOLVES SUBSTANTIAL RISK OF LOSS. YOU MAY LOSE SOME OR ALL OF YOUR INVESTED CAPITAL. YOU SHOULD NOT INVEST MONEY THAT YOU CANNOT AFFORD TO LOSE.

8.5 Backtesting Disclaimer. BACKTESTING RESULTS SHOWN BY THE SERVICE ARE HYPOTHETICAL AND BASED ON HISTORICAL DATA. THEY DO NOT REPRESENT ACTUAL TRADING RESULTS. PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS. Hypothetical performance results have many inherent limitations, including but not limited to survivorship bias, look-ahead bias, and the benefit of hindsight.

8.6 No Guarantee of Results. We make no representation that any trading strategy generated by the Service will or is likely to achieve profits or losses similar to those shown in any backtesting results, nor that any output of the Service is suitable for any particular trading objective, instrument, market, or jurisdiction.

8.7 User Responsibility. You are solely responsible for your own investment and trading decisions, including any decision to apply outputs of the Service to live trading. You should consult with a qualified financial advisor before making any investment decisions. By using the Service, you acknowledge that you understand and accept the risks involved in trading and that you are using the Service for research and educational purposes.

8.8 Third-Party Platforms and Trademarks. The Service generates code for use on TradingView, a third-party platform. "TradingView" is a trademark and service of TradingView, Inc. and its affiliates (the "TradingView Owners"), and all references to TradingView, Pine Script, and related marks in the Service are used solely for descriptive and identification purposes. We are not affiliated with, endorsed by, sponsored by, certified by, partnered with, or otherwise authorized by the TradingView Owners or any broker, exchange, or financial institution. We have not received any official license, certification, partnership, or other authorization from the TradingView Owners. Use of TradingView and any broker, exchange, or third party connected to it is subject to those parties' own terms of service, and we are not responsible for any acts, omissions, outages, changes, or disputes involving such third parties.

9. Chrome Extension

Pinary offers an optional Chrome browser extension that integrates with TradingView ("Chrome Extension"). By installing and using the Chrome Extension, you agree to these additional terms.

The Chrome Extension requires access to TradingView web pages to apply generated Pine Script code. The Extension does not collect browsing data from non-TradingView pages.

The Chrome Extension is available to Pro and Elite plan subscribers only. Free plan users may install the Extension but will have limited functionality.

The Chrome Extension depends on TradingView's page structure (DOM). TradingView may change its interface at any time, which may temporarily or permanently affect the Extension's functionality. We do not guarantee uninterrupted compatibility and are not responsible for disruptions caused by changes to TradingView's platform.

10. Referral Program

Pinary offers a referral program. Eligible users may invite others using a unique referral link. Both the referrer and referred user may receive promotional benefits (such as discount coupons) as described on the Service.

Referral rewards are subject to change or termination at any time without prior notice. Abuse of the referral program — including self-referrals, fake accounts, or automated referral generation — will result in forfeiture of rewards and may lead to account termination.

11. Beta and Experimental Features

From time to time, we may offer features that are designated as "beta," "preview," "experimental," "alpha," or similar ("Beta Features"). Beta Features are provided AS IS and AS AVAILABLE, without warranty of any kind, may be unstable, may produce inaccurate output, may be modified, suspended, or removed at any time without notice, and are excluded from any service-level commitment. Your use of Beta Features is voluntary and at your own risk. Use of a Beta Feature does not entitle you to any refund, credit, or compensation.

12. Disclaimer of Warranties; No Service-Level Commitment

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, AVAILABLE, ERROR-FREE, SECURE, OR FREE OF MALICIOUS CODE.

We do not commit to any uptime, availability, response-time, or service-level target for the Free or paid plans, and we do not provide service credits or refunds for downtime, latency, model degradation, or third-party outages (including outages of our AI provider, hosting infrastructure, or TradingView), unless a separate written service-level agreement is signed by an authorized officer of Resolve Inc.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, INVESTMENT LOSSES, OR FINANCIAL DAMAGES ARISING FROM YOUR USE OR APPLICATION OF STRATEGIES, PINE SCRIPT CODE, INDICATOR PARAMETERS, STRATEGY LOGIC, OR BACKTESTING RESULTS GENERATED BY THE SERVICE, INCLUDING ANY LOSSES INCURRED FROM APPLYING SUCH OUTPUTS TO LIVE TRADING OR ACTUAL INVESTMENT ACTIVITY.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including liability for fraud, death, or personal injury caused by negligence, or, for EU users, liability under mandatory consumer protection laws).

14. Indemnification

You agree to indemnify, defend, and hold us, our affiliates, and our officers, directors, employees, and contractors harmless from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (i) your breach of these Terms, (ii) your User Inputs or User Content, (iii) your use of the Service, including any application of the Service's outputs to live trading, or (iv) your violation of any law or third-party right.

15. DMCA and Copyright Infringement

We respect intellectual property rights and respond to valid notices under the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512) ("DMCA") and equivalent legal regimes.

15.1 Notice of Claimed Infringement. If you believe that User Content on the Service infringes your copyright, send a written notice to our designated agent containing: (a) a physical or electronic signature of the rights holder or authorized agent; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and information sufficient to locate it; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act.

15.3 Counter-Notice. If your User Content was removed and you believe the removal was the result of mistake or misidentification, you may submit a counter-notice meeting the requirements of 17 U.S.C. § 512(g)(3).

15.4 Repeat Infringers. We will, in appropriate circumstances, terminate the accounts of users who are repeat infringers.

16. Sanctions, Trade Compliance, and Export Control

By using the Service, you represent and warrant that you are not (i) located in, ordinarily resident in, or accessing the Service from any country, region, or territory subject to comprehensive U.S., EU, UK, or Japanese trade sanctions or embargoes (including, as of the date of these Terms, Cuba, Iran, North Korea, Syria, the Crimea region, the so-called Donetsk People's Republic, and the so-called Luhansk People's Republic); (ii) listed on any government list of restricted, denied, or sanctioned persons (including OFAC's Specially Designated Nationals List, the EU Consolidated List, the UK Sanctions List, or the Japanese End User List); or (iii) acting on behalf of any such person.

You will not use the Service in violation of any export control or sanctions law, including the U.S. Export Administration Regulations (EAR), the U.S. International Traffic in Arms Regulations (ITAR), and Japan's Foreign Exchange and Foreign Trade Act, and you will not export, re-export, transfer, or otherwise make available the Service or its outputs to any prohibited destination, end user, or end use (including weapons of mass destruction or unauthorized military end uses).

17. Force Majeure

We shall not be liable for any failure or delay in performance arising from causes beyond our reasonable control, including but not limited to: acts of God, fire, flood, earthquake, pandemic, war, terrorism, civil unrest, government action, sanctions or trade restrictions, internet or telecommunications failures, denial-of-service attacks, third-party platform outages, AI provider outages or model degradation (including outages or material changes to our AI processing provider, cloud infrastructure provider, payment processor, or TradingView), or labor disputes.

18. Dispute Resolution

18.1 Informal Resolution. Before filing any formal dispute, you agree to contact us at support@pinary.app and attempt to resolve the dispute informally for at least thirty (30) days.

18.2 Class Action Waiver (Users Outside Japan). TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANY DISPUTE BETWEEN YOU AND US MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY. YOU AGREE THAT YOU WILL NOT PARTICIPATE IN ANY CLASS, COLLECTIVE, REPRESENTATIVE, CONSOLIDATED, OR PRIVATE ATTORNEY-GENERAL ACTION AGAINST US, AND YOU WAIVE ANY RIGHT TO TRIAL BY JURY WHERE SUCH WAIVER IS PERMITTED.

18.3 EU Users. If you are a consumer resident in the European Union, you may bring proceedings in the courts of your member state of residence. Nothing in this Section limits your rights under mandatory EU consumer protection law.

18.4 All Other Users. Except as required by mandatory law (including for EU consumers under Section 18.3), all disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court, Tokyo, Japan, as the court of first instance.

19. Termination

You may terminate your account at any time through your account settings or by contacting us. We may terminate or suspend your access at any time for breach of these Terms or for any other reason with reasonable notice.

Upon termination, your right to use the Service ceases immediately. Any outstanding fees become due. Sections that by their nature should survive termination — including Sections 5 (Acceptable Use), 6 (IP / User Content / Generated Output), 8 (Financial and Investment Disclaimer), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), 15 (DMCA), 16 (Sanctions and Export Control), 17 (Force Majeure), 18 (Dispute Resolution), and 25 (General Provisions) — will survive termination.

Upon termination, your data is handled in accordance with our Privacy Policy. You should export any data you wish to retain before terminating your account.

20. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

21. Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice before discontinuing material features.

22. Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets upon notice to you.

23. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

24. Governing Law

Except as otherwise required by applicable law (including mandatory consumer protection laws in the EU), these Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.

25. General Provisions

25.1 Entire Agreement. These Terms, together with the Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.

25.2 No Waiver. Our failure to enforce any provision of these Terms is not a waiver of that or any other provision. Any waiver must be in writing and signed by us.

25.3 Notices. We may give you notices through the Service, by email to the address associated with your account, or by posting on our website. You may give us notices by email to support@pinary.app.

25.4 Headings. Section headings are for convenience only and do not affect interpretation.

25.5 Relationship. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us.
